Um I'm I'm not gonna reserve any, Your Honor, and actually I'm gonna um provide all of my time to Miss Estas if that's possible. I don't expect us to have anything to say.
All right. Um, so you are All right. You're not gonna be arguing this morning.
I will not. I after reading the papers I I believe I don't think I have anything I need to add and I won't take up the court's time doing so.

Thank you, Your Honors. May I please the court. This case is important to everyone who does business with the Wonderful Company, which is the nation's largest distributor of produce farm in the Central Valley. I want you to imagine for a moment. that you own a controlling interest in several dozen farms and you've entered into a contract with another company for them to process the pistachios run on those farms. Every year that company loans you the money you need to run these farms, and every year you send your pistachios to them. All is well. Everything's going fine. Until three farms in which you do not own a controlling interest and which are not. covered by your contract, decide that they are going to send their pistachios to someone else.
Process. It says it's not going to pay you. The standard bonus for the pistachios you already said the prior year. you were expecting for that bonus to be several tens of millions of dollars. What do you do when the next year's prop comes around? Do you send the dexter crop to that company as well? Your product that you're thinking of sending eighty three million dollars worth approximately. Would it be wise to send knowing you might not get paid? Of course not. So what do you do? You call your attorney. You think about your options. And the attorney tells you about corporations code section two six oh nine. where you can seek to have reasonable assurance that if in fact you do send this year's prof, you will in fact get paid per the contract.
So you do that. Monsieur. Remind you with such assurance. You're given you give them many opportunities and several times they fail to give you such assurance. Do you send eighty three million dollars worth of cross to that company for processing? Of course you don't. You rely instead on section two hundred and six oh nine, which states that if where You have reasonable grounds to seek assurance and you do so if you are not given that insur assurance. You are wild. to assume that the other company has repudiated the contract. The issue, the main issue in these combined appeals, is whether the statute MOU, the loan MOU, and the promissory notes signed each year, which cover overlapping subjects and which contain intertwining obligations should be interpreted together
