It's a very different whole discussion than when we're talking about maybe something like urology.
And once again, not every engagement is going to look the same.
But I think what's really critical to understand is that
What's being established in my experience and what I've seen in urology, at least, is that when a private equity company decides to get into the quote-unquote business of urology, what they are doing is they're establishing a management organization or a management services organization, also known as an MSO.
And you'll hear that term a lot, MSO.
Well, no, I think it's really important to understand exactly what that means and what that can mean because MSOs have existed for 30, 40 years, right?
There are many examples of MSOs that were owned directly by physicians over the years and or other third parties.
where if you imagine there's a ton of, think of it as sort of the back office work, right?
If you have someone that manages your HR, right?
You know, your human resources that helps manage your revenue cycle management or your billing and collections that helps with, you know, compliance concerns or legal concerns, right?
A lot of these extra services, people are used to saying, okay, I have a third party that does that for me.
So in some ways, it's about kind of packaging all that up together and saying, hey, we can be your full-service management organization.
Then the relationship gets a little bit deeper where, okay, maybe it's contracting with payers, contracting with hospitals.
That's where sort of a lot of the lines would stop.
What's also true, though, with...
an MSO where you have a capital partner, like private equity can be, is exactly that, which is they can also provide capital to help you build things.
The structure of most private practices, and for those people may or may not realize, is that historically, anything that the group wants to do, if it's a pure partnership of physicians,
is done with the personal guarantee of those physicians in most cases.
Right.
So if there's a loan necessary, it's basically coming, you know, on the practice.
