Even if the chair is only serving a one, two or even three year term, there's just lots of potential for damage.
And just like lines of authority and roles of responsibility.
uh the board and management just have to have an agreement upon.
I think you can reach a consensus.
I think you gotta start on it right out of the box and I think you have to work hard at it.
Uh but I'm not sure that
My my view is a l level of clarity that's shared by lots of board management leaders.
You know, uh we've been spending the last several years focusing on the whole board management dynamic.
You know, there was that huge NACD report on this.
It's a pretty demanding task.
It's not easily done.
I remember that I think if on the
NACD Blue Rhythm report a couple of years ago that talked about this.
It was 80 pages uh in length in terms of and so it's a complicated task.
And I I worry that perhaps we haven't focused as much as we should on the unique issues associated with the chair's place in corporate governance.
Uh and I think that's again why the the BP situation is so useful as a teaching moment.
In this one, it's just there's more than a little ambiguity in the circumstances as described in the news reports about what was appropriate conduct and what might not be.
You know, it would be easy if uh the guy came in uh
yelling, screaming, firing people, demanding certain things, uh preempting the role of CEO, uh uh uh pushing board members out the door, things of that nature.
Uh did some of that happen?
