A physician on the other end in any way, shape, or form making those clinical decisions, then you have to wonder, well, where where does the corporate practice start and where does it end under that situation?
So I do think that you are going to have companies that are developing essentially autonomous AI medical care.
bumping up against these corporate practice laws in many states.
And actually it it may be something that is going to be an impetus for certain states that don't have corporate practice to put in some restrictions around corporate practice because of some of these concerns that that we've been talking about.
Um
Do you see that the valuations on these deals are changing because of some of these new corporate practice laws?
How is that coming into play?
Well, I I think and and and I'm sure you would agree with me that in doing these deals you're not only looking at from the corporate practice, but you're there's a full array of healthcare laws that might come into play.
For example,
fee splitting laws, the anti-kickback statute, um, these laws will come into play because when you structure a deal with, let's say, a management service organization that is taking funds out of a medical group or a medical practice, you know.
Those those laws are triggered in some way, shape, or form.
So you need to you know pay close attention.
Uh the other thing I would that I would say just generally is and you know this because a lot of a lot of healthcare entities these days, they work across state lines, whether it's in the telehealth field or they physically are on a border.
city and and they are therefore they are they may office open an office across the state line and it could be completely different regulatory framework.
So it's just generally important when you're considering a deal to to look at exactly where all those offices are located because you may have corporate practice in one office and not in another.
I don't know what your experience has been.
I think I think you uh hit the nail on the head.
It's a situation where as lawyers, we just have to check in with our clients every now and then to see that, you know, it can't just be the deal's over and we're out, because these things are changing both in terms of the of the laws as well as just in terms of how they
implement the deal or the transaction.
And so these are good reasons for us
