So I just think it's a a really timely event and I'll bet a lot of our uh members who are listening to us today have faced similar situations in their career.
You know, it's a legitimate question, very real but I think it's a very realistic issue.
If if I look back
uh over my forty-six years of practice, I've been through a number of these, uh lived through them very difficult.
They're extremely disruptive to the uh the board, the management, and to the outside council.
I don't think it makes any real difference uh if it involves whether a not for profit company, a for profit company, or an international mega corporation.
When you have
a disagreement or a lack of understanding on who what the board's uh chair's role is, it's always going to be trouble.
No.
That's because, you know, fundamental agreements on the duties of the board, the board chair and the CEO occur I think with all too frequency across enterprise lines.
We've talked about them over the years in our podcast.
They can have a corrosive effect, a real corrosive effect on the board management dynamic.
And I think can also create reputational concerns regarding the effectiveness of corporate leadership, both within the organization and outside.
This stuff spreads wildfire, especially with the work within the workforce.
That's why I think one of our messages is gotta be today that it's just critical for the governance and management to have a shared understanding on you do this, we do that, and we work together on what's left over.
And I really don't think the significance of this issue changes a whole lot if we're talking about an independent board chair where the duties of the CEO and chair are separated, or about a lean independent director, where the duties are held by um the CEO and chair positions are held by the same person.
And based on the news reports, you know, first of all, we should caveat that we are reacting from to news reports.
Uh there's no external or internal report, there are no clear determinations aspect, there's no judicial report.
