So I think

If I was going to develop a game plan, it would start with having periodic conversations, not just one time only, but periodic conversations between the uh the board and the management on their respective roles and relationships.

And that would include the roles of key board officers such as the chair and maybe you know, the secretary and vice chair, things of that nature.

It's just so important to do that.

And you know what?

If there's gonna be a problem, let it arise there.

Uh uh because uh uh you you wanna force it force the issue until people are saying, I'm totally comfortable.

With

what you're supposed to do and what I'm supposed to do and the chairs and the way the chair and and the CEO will work to to correct uh w when we get off Kelter.

The second thing is that I would

work and this is I think a role that the chief legal officer can do so well, is work to establish clarity on that chair CEO relationship at the very beginning of their respective tenures.

I don't care who starts first, but um I you know I would probably don't want any surprises or or misperceptions.

And I would uh uh I I would probably start let's just take a a situation where you've got uh Rob Gerbery is is up for appointment um

uh as as the board chair of the next term um uh of of the health system.

And there's an ex a CEO who's been there for 10 years and you know each other well and you've had a good business relationship.

But you've really never had a conversation about uh role responsibilities.

Before you accept the role as chair, I would and actually before you begin to go too far down the road in the nomination process, I want to have some conversation

with you a and with the CEO.
