We've got to cut out the frills.

Uh, you know, we've got to focus in a different strategic direction.

I don't I don't have a problem with that.

Uh I don't have a problem with the chair to push for board streamlining and board efficiency.

And I think that's absolutely within the chair's w role.

And I certainly don't have a problem with the chair advocating for a kind of tone at the top level of standards that deal with executive expense and travel matters or board conduct.

Uh that's I think very much uh within the chair role.

I think it's su tough sometimes for that to percolate uh from the CEO.

It's the independent chair's responsibility to help preserve the traditional boundaries between governance and duties and business execution.

I think the chairs got to be alert at all times.

uh to agenda development and converse board conversation and board actions that move more towards the management role.

Uh, then the board's rule.

But at the same time, the flip side of that is the chair is responsible for always protecting against the erosion of legitimate board authority by management overreach.

It cuts both ways.

Yeah, I think three things going back to what we started at the beginning of our conversation.

Uh and that's just absolute lockdown, basic understanding of what the roles of of the board, the chair and and the board and management is particularly.
