Um, claiming that the management company was engaged in the practice of dentistry by s making decisions related to the employment of dental office personnel and things like that.
Um, and this was mainly related to kind of office staff, receptionists, non-clinical um personnel.
And the court said that hiring decisions of business personnel are not within the practice of dentistry.
These were they felt truly management type activities and st
said we're not going to enforce this under at least corporate practice of dentistry requirements.
Um and then there was another follow-on case, another um

DSO um and the MSA, so they actually looked into the terms of the management services agreement.
similar allegations, wanted out of the contract, weren't happy, wanted the control of their practice back.
And the MSA actually allowed f the dentist to retain final the dentist or the practice to retain final control over the hiring and firing of dental personnel, being different than office personnel.
And they said, um, you know, as long as the clinical staff is subject to clinical considerations, um, that didn't constitute the practice of dentistry.
There was a little bit of nuance where they were trying to say, well, ultimately the management company is the one kind of carrying out these terminations.
Like, yes, we we the dentist are making the decisions, but the em the this kind of cedes that power to the management company.
And they said the ministerial act of like actually going forth with the termination is not
Infringing on the pac practice of dentistry.
Um, but certainly if there were clinical decision making or things like that, then we would be concerned from a corporate practice if you were interfering with that.
Um and I I said this in our Nashville session, but Indiana is a very red state, uh, but is not acting very red in terms of how it engages with healthcare and corporate practice.
Um, and and we'll talk a little bit more about this later, but kind of related to the corporate practice um are these notice of health care transactions.
So a lot of states to kind of achieve and police and understand kind of who owns what within the state are um having certain disclosure requirements and certain notice of health care requirements or notice of health care uh transaction requirements.
So in Indiana to kind of supplement this corporate practice.
