Um and I think the other uh you might say less than uplifting observation is CAREMARC has never been meant to cover uh business judge business decisions, uh uh liability associated with financial loss per se that are uh separate and distinct from uh c red flag compliance risks.

You know, w are we gonna see plaintiffs reacting to economic losses incurred by boards that make the wrong uh the wrong call on especially if we're heading into rough economic times?

Yeah, I I guess my point is

There are still areas where where was the board will arise, even if you have the world's greatest corporate compliance plan.

Well well just keep in mind our next uh our next podcast is gonna be on director compensation.

So that ought to clear up all problems anybody has with recruiting directors.

Um but I I think the uh

the universe of governance geeks will understand these issues um and and also

look at the r the positive role the committees can play in taking a little bit of heavy lifting uh off the shoulders of the board.

And I think i in the last month or so we're seeing examples of that.

with committees that have been not necessarily the backwater of the board, but haven't had a lot of the exciting action.

And I mean by that

the human capital committee and the finance committee.

What by that I'm speaking to all of the labor and economic news over the past month.

uh that could have a direct impact on operations, uh strategy and the workforce.

They're the big picture topics that could be some form of red meat for these committees to consider and then report to uh the board on

You know, from the perspective of the fin finance committee, Rob, I see

Topics such as, you know, the kinds of things again, w the you and I read the papers every day, but but will have a direct impact on operations and on the bo decisions of the board and they're keeping a finger on the pulse of operations.

Inflation, gas prices and their downstream effects.
