You know, it's an interesting um issue and boy, you talk about hot topics.
Um uh Ken Kaufman, our friend, recently did a post that talks about
micromanagement and the concept of an effective CEO, that the CEO who really digs in deep is more likely to be the a more effective CEO.
What we're talking about here is where the board is leaning in on the role of management a little more uh than he or the she might want.
I I think it's a huge emerging issue.
And and it I think ultimately it's got to do with something we've talked about on this podcast bef before, and that is the just persistence.
Gulf between management's perspective on proper information flow and what management's responsibilities are, and that of the board of directors, and what it feels its role is, and therefore what it believes to be its needs in terms of information and access.
And again, I think that there is a real and consistent and continuing disconnect in a lot of boards.
about who does what and as a result who gets what information.
I get it that CEOs and management teams are incredibly sensitive about uh uh pumping too much information to the board because it's a time waster, they s they believe, and and it's it empowers boards to ask more questions and d and to get into the weeds on uh management issues.
At the same time, I get it that boards are saying, Look, I'm
Increasingly exposed to greater liability for breach of fiduciary duty.
I need to make sure I'm up to speed on my tasks.
So I've got, you know, how well how else am I going to do this?
Both parties are right, and maybe both parties are wrong.
It really calls for a facilitated solution by a brave general counsel or or an equally brave uh outside counsel.
Uh you need to have the a a con a kind
conversation about who does what and what's the information flow that results from that.
What I worry about, Rob, is that information flow gets weaponized.
I hate to use that term, but you know, I've seen it in in a certain situation where the CEO says the best way for me to deal with these
