There's a blanket ban that was passed, I think, last month.
Um we talked a little bit about this in Nashville on hospital sale leaseback transactions.
So this is when hospitals kind of sell they split their operations in their real estate.
They can keep the operations, they usually sell the real estate to a real estate investment trust.
Um that generates cash obviously for the company through the sale, but then it requ then it builds in a lease payment, usually a high lease payment, um, for the hospitals to pay for real estate that they had previously owned.

And it kind of strips out all the value of that but that was one of the things that they noted in Stewart that really kind of sunk the ship, so to speak, um, for that hospital.
Um and so K Connecticut for Healthcare entities have uh placed an outright ban on hospital sale lease back investments in order to kind of police that they've required an annual certification um that no private equity um entity holds a controlling interest in or has any kind of governing authority over operations or

or on any clinical matters.
Um and then there's also um a provision that expressly uh bars from
the private equity or any corporation from interfering with clinicians' professional judgment, including things like, you know, obviously just patient care, but discharge, diagnoses, kind of what's put in the chart, testing that's ordered.
Um and what they said is it aims to address what they call this backdoor control that you that can be exercised without majority ownership by including this governance piece, such as board appointment rights, veto powers.
Or conditional debt arrangement.
So they're trying to get after not only
the ownership, but also governance to and it's similar to what Oregon kind of did in terms of making sure that the um
at least from a clinical decision making perspective, that that's really kept from a in the clinician's um
purview and then everything else is kind of addressed um elsewhere.
Um or can be addressed through these arrangements, but just kind of really limiting what they can do.
